The main operating locations of our company group are in mainland China, where a welfare committee is established. In addition to complying with the Labor Contract Law of the People’s Republic of China, the Shanghai Municipality Labor Contract Regulations, and local government requirements for labor insurance and health insurance, our company also provides employees with various allowances, bonuses, holidays, cultural and recreational activities, continuing education programs, social insurance, and other related benefits in accordance with relevant Chinese laws, regulations, and policies.

Salary Structure and Adjustment Mechanism

We establish important annual targets and mandate each subsidiary to perform initial goal-setting for each department (including company goals, departmental goals, and individual goals) at the start of the period. Mid-year progress checks and end-of-year performance reviews are conducted to ensure accurate assessments. The outcomes of these evaluations are used as the basis for promotions, salary adjustments, bonus distributions, and reward allocations, and are also connected to education and training planning. The status of our performance evaluations is shown in the tables below:

1. Salary structure: Salaries are structured on a twelve-month basis, with a system for additional non-regular payments:

Performance Bonus Awarded based on the company’s operational results and individual work performance.

Business Bonus Awarded according to performance or various KPIs.
Special Bonus Awarded for Special Project Contribution.
Employee Compensation Employee compensation is allocated based on 1.5% of the Company’s profits for the relevant fiscal year.
On February 27, 2025, the Company’s Board of Directors resolved to set aside 1.5% of the Company’s 2024 profits for distribution to employees as employee compensation.

2. Salary adjustment mechanism: probationary salary adjustment, annual salary adjustment, and special salary adjustment

Probationary Salary Adjustment New employees who perform exceptionally well during their probationary period.
Annual Salary Adjustment Conducted at the beginning of the year, taking into account the company’s operational status for the year, price fluctuations, labor market conditions, and work performance.
Special Salary Adjustment Made in response to talent competition and other special considerations.
Employee Diversified Training

Talent is the most important core competitiveness of the company. Continuous education and training can inspire employees’ personal potential, enhance employees’ knowledge, enable effective use of human resources, and thereby improve the overall operating performance of the company to achieve its business objectives. To enhance the quality and work skills of employees, our company implements pre-job training for new employees upon their arrival. Additionally, management-level employees receive management and professional training based on their needs.

Our company encourages employees to participate in various training programs offered by internal and external institutions to provide them with the latest industry and market information. We actively promote the diverse development of our employees and help them enhance their professional skills. For new employees, we conduct comprehensive training that covers knowledge, skills, and attitudes, including but not limited to the company’s operating philosophy, brand culture introduction, business unit and organizational structure explanation, product and business model introduction, behavioral guidelines and regulations explanation, information security, and financial process explanation. The company’s chief corporate governance officer, accounting manager, audit manager, and their deputies attend the legally required annual training hours each year. In 2025, 7,130 people participated in training sessions, for a total of 13,125 hours.

Retirement Policy and Implementation Status

The subsidiaries (including branch offices) of our group located in Taiwan comply with the “Labor Retirement Fund Act” and related regulations issued by the local government, and have established a defined contribution retirement plan applicable to local employees. Each month, a contribution of no less than 6% of the salary is made to the employee’s individual account at the Labor Insurance Bureau. The payment of the employee’s retirement fund is based on the amount in the employee’s dedicated retirement account and the accumulated benefits, and can be received either as a monthly retirement pension or a lump-sum retirement payment.

The subsidiaries located in mainland China contribute to the pension insurance scheme as required by the government of the People’s Republic of China, by deducting a certain percentage of the total salary of local employees each month. Each employee’s retirement fund is managed and coordinated by the government, and besides the monthly contributions, our group has no further obligations.

In Hong Kong, subsidiary Hong Kong Chlitina International Limited complies with the Mandatory Provident Fund Schemes Ordinance of Hong Kong Special Administrative Region and implements a mandatory retirement plan for employees hired under the Hong Kong Employment Ordinance. This plan defines a contribution retirement benefit scheme managed by an independent trustee. According to the plan’s provisions, both the employer and the employee are required to contribute 5% of the employee’s relevant income. Apart from the monthly contributions, our group has no further obligations.

In Vietnam, subsidiaries Yongli Trading Co., Ltd. and Vinh Le Co., Ltd. comply with the Social Insurance Law and the Law on Health Insurance of the Socialist Republic of Vietnam which stipulate that employers must contribute 21.5% of the total labor wages (including 17.5% for social insurance, 3% for medical insurance and 1% for unemployment insurance), while employees contribute 10.5% of their total wages. For male employees, retirement pensions will represent 45% of their average wage, equivalent to 20 years of contribution to the retirement scheme, and this percentage will increase by 2 percentage points every year up to a maximum of 75% of their average wage. For female employees, retirement pensions will represent 45% of their average wage, equivalent to 15 years of contribution to the retirement scheme, and the retirement pension will increase by 2 percentage points every year up to a maximum of 75% of their average wage. Apart from the monthly contributions, our group has no further obligations.

Health Checks

Comprehensive health examinations can help in the early detection of diseases. The company organizes regular health checks for employees in special job roles (such as those exposed to high noise levels, dust, or X-rays) with specific examination items. In the Taiwan region, an annual health check is organized for all employees. Overseas factories proactively offer health check plans with comprehensive examination items to help employees understand their health status. In 2025, the company organized health checks for all employees. Through internal promotion and dedicated reminders, the attendance rate for health checks in mainland China reached 87% in 2024, while the attendance rate in Taiwan was 100%.

Following annual health checks, professional medical personnel at each office or factory location provide medical assistance and regular check-up reminders for any significant abnormalities identified in the health examination results, ensuring comprehensive care services. For employees with health anomalies, professional consultations are also offered. Regular doctor consultations are held in the office areas to provide employees with professional consultation channels. The company proactively manages and develops plans for education/training, guidance, prevention/risk monitoring, and medical assistance related to individual health anomalies. All employees’ personal health service records and information are used solely to evaluate whether employees are in a safe workplace environment and are not used for any other purposes. This data is securely managed by the dedicated health management unit and is not disclosed externally.

Protection Measures for Employee Personal Safety and the Working Environment

The Company strictly complies with occupational safety and health regulations applicable in the jurisdictions where its operating locations are situated (including the Occupational Safety and Health Act in Taiwan and the Law on the Prevention and Control of Occupational Diseases in Mainland China). It maintains environmental upkeep and safety supervision across factory areas and office premises, and fully implements a smoke-free policy in indoor work areas and public spaces. New employees are required to provide a health examination report issued within the past three months. In addition, the Company arranges annual routine health examinations for employees (see the “Health Checks” section above).

The Company provides drinking water in the workplace that meets national drinking water hygiene standards and has established a regular maintenance and cleaning mechanism. Workplace sanitation and maintenance are entrusted to a professional cleaning company that performs daily cleaning to maintain environmental quality. Office environment and equipment are disinfected and cleaned at least twice a year. The Company has also established gender-friendly restrooms to facilitate use by individuals of different needs and to support gender diversity. In addition, a small library has been set up for internal employee use, providing a space that encourages broader learning and knowledge development.

To safeguard the safety and health of employees and on-site workers, the Company has formulated an Occupational Safety and Health Policy. Each year (at least once annually), the Company conducts inspections and maintenance of firefighting equipment, sanitation facilities, and emergency exits (stairs) in office premises, and organizes fire safety drills and maintenance exercises. One occupational safety and health training session is also conducted annually to ensure that employees are provided with a safe and healthy working environment. Through the participation of all employees and the fulfillment of occupational safety and health management responsibilities by supervisors at all levels, the Company commits to continuous improvement and systematic management in order to reduce the risk of occupational accidents. The objective is to provide a high-quality occupational safety and health environment and advance toward the goals of zero accidents and sustainable development, thereby creating a workplace that is friendly to employees across the Chlitina Group.

The relevant measures implemented in 2025 are as follows:

A. Personnel Safety Training

To ensure safe production, in 2025, the Company organized safety and environmental protection training sessions for a total of 407 employees (including externally certified training). The training sessions topics included: Safe Position During Production, Fire Safety, Volunteer Firefighter, Laboratory Hazardous Chemicals, Working in a Confined Space, Occupational Health, Forklift Accident Emergency Drill, Environmental Leakage Accident Emergency Drill, Production Safety Awareness, and Fire Emergency Evacuation Drill. Through these training sessions, employees’ knowledge, awareness, and skills in prevention and emergency response have been greatly enriched.

B. Investment in Safety Equipment and Emergency Supplies

To ensure the safety of forklift charging operations, in November 2025 the Company installed five suspended dry powder fire extinguishers in the forklift charging area, enabling immediate and effective fire suppression in the event of a sudden fire.

In addition, the Company regularly replaces fire-fighting equipment approaching expiration. In November 2025, 106 dry powder fire extinguishers and 66 fire hoses nearing expiration were replaced.

C. Monitoring of Operational Processes (Outsourced Inspections)

To ensure that environmental pollution sources (wastewater, exhaust gas, noise) meet emission standards, to protect the safety and health of employees in the workplace, and to guarantee the reliability of lightning protection systems in production and office areas:

  1. In April 2025, before the thunderstorm season, the company commissioned Shanghai Zhizhen Lightning Protection Technology Co., Ltd. to inspect the lightning protection facilities of the production workshops, warehouses, and office areas. The identified hazards were promptly rectified to ensure the effectiveness of the lightning protection system.
  2. In June 2025, the company commissioned Shanghai Weizheng Testing Technology Co., Ltd. to test the discharge of the company’s environmental pollution sources, including wastewater, exhaust gas, and noise. The test results complied with national and local standards.
  3. In October 2025, the company commissioned Shanghai Hezhonghe Testing Technology Co., Ltd. to carry out on-site testing of occupational hazard factors and conduct a current status evaluation. The test results complied with relevant national regulations.
  4. In October 2025, the company also commissioned a qualified occupational health examination institution to conduct the annual occupational health checkup for employees, and no occupational diseases were detected among the staff.

D. Additional Safety-Related Measures

  1. To address potential production incidents, anomalies, or emergency situations, the company formulated a specific emergency response plan (with a validity period of 3 years) in November 2024. Comprehensive plans were also developed for broader incidents, and these plans underwent drills and verification.   2. Dedicated personnel were assigned to attend training and obtain certification in handling hazardous chemicals. Every year in the first quarter, the company reports the previous year’s usage and purchase of precursor chemicals to the Public Security Bureau’s Precursor Chemical Management Division. The 2024 report was completed on March 17, 2025.
  3. The Group’s subsidiary and supply chain partner Weishuo (Shanghai) Daily Product Co., Ltd. Has obtained certification for the ISO45001 Occupational Health and Safety Management System, ISO14001 Environmental Management System, and ISO9001 Quality Management System, and undergoes regulat surveillance audits and certification upgrades. Through the implementation of system management, the company improved its management standards in occupational health and safety as well as environmental management. These systems provide preventive assessment, in-process control, and post-incident corrective mechanisms to safeguard employee safety, manage environmental risks, and maintain quality control.
  4. In 2025, the number of occupational injury cases was zero. The Company will continue to strengthen employee occupational safety training and workplace accident prevention measures to ensure a safe, healthy, and comfortable working environment for all employees.
