Sustainability Committee

To achieve its sustainable development goals and strengthen governance, the Company operates in accordance with its “Sustainability Committee Charter.” This Committee meets at least once a year and may convene meetings as needed. The term of office for committee members follows that of the Board of Directors, and members are eligible for re-election. Resolutions of this committee require the consent of more than half of all its members.

A. Purpose of the Sustainability Committee

The committee operates with the following primary objectives:

(1)

Implementing sustainable development policies to ensure that the Company’s operations comply with international trends and norms in environmental, social, and corporate governance.

(2)

Assisting the Board of Directors in improving the oversight mechanism for sustainable operations and enhancing the transparency of corporate decision-making.

(3)

Enhancing the long-term value of the Company and achieving the goal of sustainable growth.

B. Powers of the Sustainability Committee

Acting under the authorization of the Board of Directors, this Committee shall faithfully perform the following duties with due care and report to the Board of Directors:

(1)

Formulate, promote, and strengthen the Company’s sustainable development policies, annual plans, and strategies.

(2)

Review, track, and revise the implementation and effectiveness of sustainability policies.

(3)

Supervise matters related to sustainability information disclosure and review sustainability reports.

(4)

Supervise the implementation of the Company’s sustainability code of conduct and other sustainability-related tasks resolved by the Board of Directors.

Matters proposed by this Committee shall be handled by the Company’s ESG Planning Team for implementation, and the status of sustainable development execution shall be reported to this Committee.

C. Members of the Sustainability Committee

In accordance with Article 4 of the Company’s “Sustainability Committee Charter,” this Committee shall not have less than three members, appointed by resolution of the Board of Directors. Members shall possess professional knowledge and capabilities in corporate sustainability, and at least one director shall participate in supervision. Cross-departmental teams may be formed as needed.

The term of the Company’s first Sustainability Committee is from May 11, 2026 to June 25, 2027.
